CityArtWalks Moderator Agreement

1. Role and Appointment

CityArtWalks grants you a limited, non-exclusive, revocable right to act as the designated moderator for a specific city ("City").

As a Moderator, you are responsible for:

• Creating and maintaining content related to art pieces, venues, and city-specific information
• Uploading images and descriptions
• Reviewing and validating AI-generated content for accuracy
• Ensuring content quality and compliance with this Agreement

CityArtWalks retains full ownership and control of the platform and all content.

2. Content Ownership and License

By uploading or creating content, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to use and upload the content
• The content does not infringe upon any third-party rights, including copyright, trademark, or privacy rights

You grant CityArtWalks a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and monetize the content.

3. Image and Media Requirements

You agree that:

• All uploaded images must be either:
• - Taken by you, or
• - Properly licensed for commercial use
• You will not upload images sourced from unauthorized third parties (e.g., Google Images, social media, or other websites without permission)

CityArtWalks may use technical measures (including metadata and EXIF analysis) to review uploads, but you remain solely responsible for compliance.

4. AI-Generated Content

CityArtWalks may provide AI-generated or AI-assisted content tools.

You acknowledge and agree that:

• AI-generated content may be inaccurate or incomplete
• You are responsible for reviewing, editing, and approving all AI-generated content before publication

CityArtWalks does not guarantee the accuracy of AI-generated content.

5. Revenue Sharing and Payments

Moderators are eligible to receive a share of revenue generated from their assigned City.

Revenue Sources May Include:

• User subscriptions
• Venue listings and sponsorships
• Other monetization features

Payment Terms:

• Revenue share percentages will be defined by CityArtWalks and may be updated with notice
• Payments are made on a periodic basis (e.g., monthly), subject to minimum payout thresholds
• Payments may be processed through third-party providers such as Stripe

You are responsible for:

• Providing accurate tax and payment information
• Paying any applicable taxes on earnings

6. Independent Contractor Status

You are an independent contractor and not an employee of CityArtWalks.

Nothing in this Agreement creates any partnership, joint venture, or employment relationship.

You are solely responsible for:

• Your own taxes
• Your own equipment and expenses
• How and when you perform your work

7. DMCA and Copyright Compliance

CityArtWalks complies with the Digital Millennium Copyright Act (DMCA).

You agree that:

• Content may be removed if a valid copyright complaint is received
• You may submit a counter-notice if you believe removal was in error
• Repeated copyright violations may result in account termination

8. Indemnification

You agree to defend, indemnify, and hold harmless CityArtWalks and its affiliates from any claims, damages, liabilities, or expenses arising from:

• Content you upload or create
• Your violation of this Agreement
• Any infringement of third-party rights

9. Content Moderation and Removal

CityArtWalks reserves the right to:

• Review, edit, or remove content at any time
• Suspend or remove Moderators who violate policies or quality standards

10. Exclusivity and City Assignment

CityArtWalks may assign one Moderator per City.

You acknowledge that:

• Your assignment is non-transferable and revocable
• CityArtWalks may reassign or remove you at its sole discretion

11. Termination

CityArtWalks may terminate this Agreement at any time, with or without cause.

Grounds for termination include, but are not limited to:

• Inactivity
• Poor content quality
• Policy violations
• Copyright infringement

Upon termination:

• Your access to the platform will be revoked
• CityArtWalks retains all rights to previously submitted content

12. Limitation of Liability

CityArtWalks is not liable for:

• Loss of revenue or earnings
• Platform downtime or technical issues
• Removal of content

13. Changes to Agreement

CityArtWalks may update this Agreement at any time. Continued use of the platform constitutes acceptance of any updated terms.

14. Governing Law

This Agreement shall be governed by the laws of the United States and the State of Oregon, without regard to conflict of law principles.

15. Acceptance

By registering as a Moderator, you acknowledge that you have read, understood, and agree to this Agreement.
